End User License Agreement

This EULA is a legal agreement between you (either an individual or a single entity) and NetWorks Ltd. for the software accompanying this EULA, which includes the accompanying computer software, and may include associated media, printed materials and any "online" or electronic documentation ("SOFTWARE"). By installing the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not install or use the SOFTWARE.

I. The Visual Query Tool software program (the "SOFTWARE") is provided to you for use on the terms set forth here. Important - The SOFTWARE contains copyright works protected by copyright law and international conventions.

II. (a) YOU MAY INSTALL the Software on a hard disk or other storage device; install, use, access, display, run, or otherwise interact with ("RUN") one copy of the SOFTWARE, on a single computer, workstation, terminal, on a file server the Software, for the purposes of (i) permanent installation onto hard disks or other storage devices or (ii) use of the Software over such network; and make backup copies of the Software.

(b) Storage/Network Use. You may also store or install a copy of the SOFTWARE on a storage device, such as a network server, used only to RUN the SOFTWARE on your other COMPUTERS over an internal network; however, you must acquire and dedicate a license for each separate COMPUTER on which the SOFTWARE is RUN from the storage device. A license for the SOFTWARE may not be shared or used concurrently on different COMPUTERS.

(c) Software Transfer. You may permanently transfer all of your rights under this EULA one time, provided you retain no copies, you transfer all of the SOFTWARE (including all component parts, the media and printed materials, any upgrades, this EULA and, if applicable, the Certificate of Authenticity), and the recipient agrees to the terms of this EULA. If the SOFTWARE portion is an upgrade, any transfer must include all prior versions of the SOFTWARE.

II. RESTRICTIONS. SOFTWARE is copyrighted. As the Licensee, you may not particularly:

(a) Modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, or distribute them and in any other way interfere with the internal structure of SOFTWARE, except as expressly authorized by this License. Although you may create customized query packages (.VQT files), you may not otherwise alter or modify the Software or create a new Software.

(b) Rent or lease the SOFTWARE, although you may transfer the SOFTWARE on a permanent basis provided you retain no copies and the recipient agrees to the terms of this License.

III. DISCLAIMER OF WARRANTY

THIS SOFTWARE IS PROVIDED BY NETWORKS LTD. "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED. IN NO EVENT SHALL NETWORKS LTD. BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

VI. COPYRIGHT. All title and copyrights in and to the SOFTWARE (including but not limited to any images, photographs, animations, video, audio, music, text and "applets," incorporated into the SOFTWARE), the accompanying printed materials, and any copies of the SOFTWARE, are owned by NetWorks Ltd. or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. If this SOFTWARE contains documentation, which is provided only in electronic form, you may print one copy of such electronic documentation. You may not copy the printed materials accompanying the SOFTWARE.

V. Support Services. NetWorks may provide you with support services related to the SOFTWARE ("Support Services"), in its discretion. Use of Support Services, if any, is governed by the NetWorks policies and programs described in the user manual, in "online" documentation, and/or other NetWorks-provided materials. Any supplemental software code provided to you as a part of Support Services shall be considered part of the SOFTWARE and subject to the terms of this EULA. With respect to technical information you provide to NetWorks as part of the Support Services, NetWorks may use such information for its business purposes, including for product support and development. NetWorks will not utilize such technical information in a form that personally identifies you except to the extent necessary to provide you with support.

VI. TERMINATION

This License is effective until terminated. This License will terminate automatically without notice from Producer if you fail to comply with any provisions of this License. This License is also terminated if and when exchanged for a new License regulating your use of an UPGRADE version of SOFTWARE. Upon termination, you shall stop use and shall destroy all copies of SOFTWARE including written documentation and including modified copies, if any.

VII. GOVERNING LAW. If you acquired the SOFTWARE in the EU, the laws of the EU will apply to this contract. If you acquired this SOFTWARE outside of the EU, then local law may apply.
